1. Introduction
Welcome to Lunixes. These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between you (“Client”, “User”, “you”, “your”) and Lunixes (“Company”, “we”, “us”, “our”), a company registered under the laws of the United Arab Emirates (UAE) within the International Free Zone Authority (IFZA).
By accessing or using any Lunixes website, platform, product, software, API, or service (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.
These Terms are governed by UAE law, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), Federal Decree-Law No. 5 of 2012 on Cybercrime, and Federal Law No. 1 of 2006 on Electronic Commerce and Transactions.
2. Eligibility and Account Registration
2.1 Eligibility. You must be at least eighteen (18) years old and have legal capacity to enter into binding contracts under UAE law. If you are registering on behalf of a company, you represent that you are authorised to bind that entity to these Terms.
2.2 Account Creation. To access certain Services, you must create an account by providing accurate and complete information. You agree to maintain the confidentiality of your credentials and to update your information as necessary.
2.3 Two-Factor Authentication (2FA). Lunixes requires that all registered accounts enable two-factor authentication (2FA). We may suspend or restrict access to any account that has not activated 2FA or that appears compromised.
2.4 Account Responsibility. You are solely responsible for all activities that occur under your account, whether by you or your authorised users. You agree to notify us immediately of any unauthorised access or breach.
3. Use of Services
3.1 Licence Grant. Subject to these Terms, Lunixes grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes.
3.2 Prohibited Uses. You shall not:
a. use the Services for any unlawful purpose or in violation of applicable UAE or international laws;
b. reverse-engineer, decompile, copy, or modify any part of the Services;
c. use the Services to store, distribute or transmit malware, spam, or harmful code;
d. resell, sublicense or provide the Services to third parties except as expressly authorised;
e. interfere with or disrupt network integrity or security measures.
3.3 AI and Automation Features. Some Services include AI-driven modules, bots, or analytics. You acknowledge that AI outputs are probabilistic and should be used with human oversight. Lunixes disclaims liability for decisions made solely on automated outputs.
4. Data Ownership and Protection
4.1 Client Data. All data, text, files, or content submitted by you or generated through your use of the Services (“Client Data”) remains your property.
4.2 Data Hosting Flexibility. Client Data may be stored either (a) on Lunixes’ secure cloud servers, or (b) on client-designated infrastructure, as agreed in writing. In both cases, Lunixes will apply industry-standard security, encryption, and access-control measures.
4.3 Data Processing. Lunixes acts as a data “processor” for Client Data under the UAE PDPL and processes such data solely on your documented instructions.
4.4 Security Measures. We implement administrative, technical, and physical safeguards — including encryption at rest and in transit, role-based access, backups, audit logs, and mandatory 2FA — to protect Client Data.
4.5 Data Breach Notification. In the event of any confirmed data breach affecting your data, we shall notify you without undue delay and cooperate in accordance with applicable law.
4.6 Privacy Policy. Processing of personal data is further detailed in our Privacy Policy, which forms an integral part of these Terms.
5. Subscription, Fees and Payment
5.1 Fees. Access to certain Services requires payment of subscription fees or usage charges. Prices are listed in AED or USD and may be subject to change with reasonable notice.
5.2 Payments. All payments shall be made electronically through approved methods. You agree to provide accurate billing information and authorise Lunixes to charge the agreed amounts.
5.3 Taxes. Unless expressly stated otherwise, fees are exclusive of VAT or any other applicable taxes, which shall be borne by the Client.
5.4 Non-Payment. Failure to pay any amount due within the specified period may result in suspension or termination of your account.
6. Confidentiality
Each party agrees to treat as confidential all non-public information disclosed by the other party that is marked or reasonably understood to be confidential. Neither party shall disclose such information except to employees, agents, or contractors who have a need to know and are bound by equivalent confidentiality obligations. This obligation survives termination.
7. Intellectual Property
7.1 Ownership. Lunixes retains all rights, title, and interest in and to the Services, software, trademarks, trade names, logos, designs, and other intellectual property.
7.2 Client Content. You retain ownership of your Client Data but grant Lunixes a limited licence to host, process, and display it solely as necessary to provide the Services.
7.3 Feedback. Any suggestions, enhancements or feedback you provide may be freely used by Lunixes without obligation.
8. Service Availability and Support
8.1 We strive to maintain a minimum 99% uptime for our core platform, excluding planned maintenance, force majeure, or factors beyond our control.
8.2 Support is available via email at info@gamermajlis.com or support@lunixes.com during business hours in the UAE (Monday – Friday, 9 AM – 6 PM GST).
8.3 Lunixes may modify, update, or discontinue any feature of the Services, provided that such change does not materially reduce functionality without notice.
9. Termination and Suspension
9.1 By Client. You may terminate your subscription by written notice or through the account dashboard, subject to any minimum term commitments.
9.2 By Lunixes. We may suspend or terminate access if you breach these Terms, fail to pay fees, violate laws, or compromise system security.
9.3 Effect of Termination. Upon termination, your access ceases, but you may request a copy of your Client Data within 30 days. We will delete or anonymise data thereafter in accordance with our retention policy.
10. Disclaimers and Limitation of Liability
10.1 As-Is Basis. The Services are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied.
10.2 No Indirect Damages. To the fullest extent permitted by law, neither party shall be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or in connection with these Terms.
10.3 Aggregate Liability. Lunixes’ total cumulative liability for any claim under these Terms shall not exceed the total amount of fees paid by you to Lunixes in the twelve (12) months preceding the claim.
11. Compliance and Export Control
You agree to comply with all applicable UAE laws, including those related to data protection, anti-spam, and export control. You shall not use the Services in violation of sanctions or export restrictions administered by the UAE or international bodies.
12. Force Majeure
Neither party shall be liable for any failure or delay due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, government actions, or internet outages.
13. Amendments
We may update or modify these Terms from time to time. The latest version will always be posted on our website. Continued use of the Services after updates constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable to entities registered under the International Free Zone Authority (IFZA).
You agree to submit to the exclusive jurisdiction of the competent courts of the UAE.
